Terms of Service

Effective date: September 23, 2026

These Terms govern your use of Hepherus, operated by Hepherus LLC, a Delaware limited liability company, 850 New Burton Rd., Ste 201, Dover, DE 19904 (“Hepherus”, “we”, “us”). By creating an account or using Hepherus, you agree to them. If you use Hepherus for an organisation, you agree on its behalf and confirm you have the authority to do so.

1. The service

Hepherus provides a team of AI agents that plan and produce work for you — including research, strategy, marketing, writing, editing, design, technical planning, legal drafting and financial analysis — coordinated by an orchestrating agent, with plans you approve before work begins.

Hepherus is a tool. It is not a law firm, an accounting firm, a financial adviser or a healthcare provider, and using it does not create any professional relationship. See §7.

Hepherus is available only to customers in the United States. We ask for your country at sign-up, and paid plans require a US billing address.

We may change, add or remove features. If we remove something you rely on in a way that materially reduces the service, we’ll give you reasonable notice.

2. Accounts

  • You must be at least 18 and able to form a binding contract.
  • Give us accurate information and keep it up to date.
  • Keep your password secure. You’re responsible for activity on your account. Tell us promptly at contact@hepherus.com if you think it has been used without your permission.
  • Organisations. An organisation’s owner controls it, can invite others, and can see everything in it, including members’ conversations with agents. Members’ access depends on the roles and settings the owner and administrators choose.

3. Trial, plans and credits

Trial

  • New accounts can try Hepherus free for 14 days on the Solo plan, with 250 credits. No payment card is required.
  • The trial lasts 14 days.
  • If you use all 250 trial credits before then, you can keep working by choosing a paid plan or buying a credit pack.
  • At the end of the 14 days, a paid plan is needed to keep using agents. If you don’t choose one, your account becomes read-only — you keep access to your work, and agents stop until you subscribe.

Plans

  • Paid plans are billed monthly, starting on the day you subscribe. Current plans and prices are on our pricing page.
  • Each plan includes a monthly credit allowance. Credits are used when agents produce work; conversation, review and answering decisions do not use credits. The credits each action uses are shown in Hepherus.
  • The coding agent. Coding is not yet available (see §8). Credits pay for orchestrating and strategising your development — planning the build, writing the technical brief, and reviewing the work. Credits are charged when an agent produces a deliverable, and a revision is charged as its own work.

Credits

  • Included credits do not roll over. Unused credits from your monthly allowance expire at the end of each billing period.
  • Additional credits you buy do not expire while your account remains active.
  • When your included credits run out, you can buy more as credit packs. Work is never charged automatically beyond your credits — if you turn on auto-reload, a pack is bought on your card when your balance runs low (you set the amount and how often). Until credits are added, work that needs them simply waits.

Changes to prices

We may change prices. We’ll give you at least 30 days’ notice before a change affects you, and it will apply from your next billing period.

4. Payment, cancellation and refunds

  • Payments are processed by Stripe. You authorise us to charge your payment method for your plan and any credit packs you buy (including auto-reload, if you turn it on).
  • You can cancel at any time. You can cancel from your plan page, or email us at contact@hepherus.com and we will cancel your subscription. Your plan continues until the end of the current billing period, and then ends. (Terms wording pending the legal/Terms review, spec §6.2.)
  • Refunds. Fees are not refunded for partial billing periods, except where the law requires it. If you believe you were charged in error, contact us and we’ll review it.
  • If a payment fails, we’ll let you know and try again. If it isn’t resolved, your account becomes read-only — you keep access to your work, and agents stop until payment is made. We won’t delete your work because a payment failed.
  • Taxes. Prices exclude applicable taxes. Stripe calculates and collects them at checkout.

5. Acceptable use

You agree not to use Hepherus to:

  • break any law, or help anyone else do so;
  • infringe anyone’s intellectual property, privacy or other rights;
  • upload content you don’t have the right to share (see our Privacy Policy);
  • create or distribute malware, or attempt to access systems or data you’re not authorised to;
  • probe, disrupt or overload Hepherus, or get around its security or usage limits;
  • harass, threaten, defraud or mislead anyone;
  • make decisions about people that have legal or similarly significant effects on them solely on the basis of Hepherus’s output;
  • copy, resell or reverse-engineer Hepherus, or use it to build a competing product.

The AI providers’ usage policies

Hepherus’s agents are powered by AI providers, including Anthropic, Google and OpenAI. Your content is sent to them to do the work you request, on our accounts. You agree not to use Hepherus in any way that would breach those providers’ usage policies. We may suspend work that does, because a breach puts the service at risk for every customer.

We may suspend or limit your use of Hepherus if we reasonably believe you are breaching this section.

6. Your content and output

  • You own your content — what you give Hepherus.
  • You own the output agents produce for you, to the extent the law allows.
  • You give us permission to store, process and transmit your content and output only as needed to provide Hepherus to you — including sending it to the AI providers that power our agents. We don’t use it for anything else, including advertising or training AI models, as described in our Privacy Policy.
  • You’re responsible for your content, and for having the rights you need to share it with Hepherus — including any information about other people it contains.
  • We own Hepherus itself — the software, the agents, their design and everything else we provide — apart from your content and output.
  • Feedback. If you send us suggestions, we may use them without obligation to you.

7. AI output is a draft, not professional advice

This section matters, so please read it.

  • Output is generated by AI and can be wrong, incomplete or out of date. Review it before you rely on it.
  • Legal output is a draft or template, not legal advice. Have it reviewed by a qualified lawyer before you sign, send or rely on it.
  • Financial and accounting output is analysis, not financial, tax or accounting advice. Have it reviewed by a qualified professional before you rely on it.
  • Health-related output concerns health claims made about products — whether a claim is supportable and whether it overstates the evidence. It is information, not medical advice, it is not advice about anyone’s own health, and it is not a substitute for a qualified healthcare professional. Nothing it produces means a claim is approved, compliant or safe to use. Hepherus is not designed to receive health information about you; please don’t send it.
  • Using Hepherus does not create a lawyer–client, accountant–client, adviser–client or doctor–patient relationship with us or with anyone else.
  • You’re responsible for the decisions you make using Hepherus’s output.

8. The coding agent

Coding is not yet available. The coding agent does not run, makes no changes to any repository, and produces no code. We are building it, and we will update these Terms before it becomes available.

When it does become available, it will work this way:

  • Every change will arrive as a pull request in your own repository. We instruct the agent never to merge a pull request and never to deploy, and the access you grant us includes no ability to deploy anything. Because merging is prevented by our instructions rather than by the access itself, we recommend you protect your default branch in GitHub.
  • You review each pull request before merging it. Whether to merge, and whether and how to deploy, is your decision and your responsibility.
  • You’re responsible for your repositories, your infrastructure, and anything you merge or deploy — including testing it and keeping backups.
  • We do not receive or store any Anthropic credentials of yours, and we do not copy your repositories to our systems.
  • What Hepherus credits will pay for: orchestrating and strategising the development — planning, the technical brief, and review. We will tell you how the coding work itself is charged before it becomes available.

9. Services you connect

Hepherus can connect to your Google Drive and your GitHub account. Those are your accounts, governed by your agreements with those companies. You can disconnect them at any time. We’re not responsible for those services or for changes their providers make.

10. Confidentiality and security

We treat your content as confidential and protect it as described in our Privacy Policy. Hepherus staff access your content only as described there — to run, support and secure the service, to investigate problems you report, or where the law requires it.

No system is perfectly secure. You’re responsible for keeping your own passwords, devices and connected accounts secure.

11. Termination

  • You can close your account at any time. When you ask us to delete it, we’ll delete your information as described in our Privacy Policy.
  • We may suspend or close your account if you seriously or repeatedly breach these Terms, if the law requires it, or if continuing would expose us or others to risk. Where reasonable, we’ll tell you first and give you a chance to fix the problem.
  • Before we close an account for a reason other than a serious breach, we’ll give you reasonable notice and a reasonable opportunity to retrieve your work — contact us and we’ll help you get a copy of it.
  • Sections that by their nature should survive — including §6, §7, §12, §13 and §16 — continue after your account ends.

12. Disclaimers

Hepherus is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that Hepherus or its output will be accurate, complete, uninterrupted or error-free.

13. Limitation of liability

To the fullest extent the law allows:

  • We’re not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
  • Our total liability for any claim relating to Hepherus is limited to the amount you paid us in the 12 months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnity

You agree to indemnify Hepherus against claims arising from your content, your breach of these Terms, or your use of Hepherus’s output — including anything you merge, deploy, sign or publish.

15. Data processing

Where we process personal information in your organisation’s workspace on its behalf, we act as your processor and you as the controller (see our Privacy Policy §1). If your organisation needs a data processing agreement, contact us at contact@hepherus.com and we’ll work with you on one.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.

17. Changes to these Terms

We may update these Terms. If a change is significant, we’ll tell you at least 30 days before it takes effect. If you keep using Hepherus after that, you accept the updated Terms. If you don’t agree, you can close your account.

18. General

These Terms, together with our Privacy Policy, are the whole agreement between you and Hepherus about the service. If any part is found unenforceable, the rest continues to apply. Our not enforcing a provision isn’t a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a sale or reorganisation of our business.
